Diluted shares are common shares outstanding plus the full share count of each warrant and option, and the shares on conversion of each convertible, that is in the money (the BNC share price above its exercise or conversion price) and unexpired, derived from the per-instrument component table published with every snapshot. Out-of-the-money warrants are excluded but count in full once the share price exceeds their exercise prices. Share-settled RSUs are fully included at a zero strike. The 16,265 legacy stock options outstanding at July 31, 2026 (the Q1 FY2027 Form 10-Q figure) are carried in the register as one row at a $73.09 weighted-average exercise price, blended from the averages the 10-Q discloses, $73.16 on 15,940 employee options and $69.48 on 325 board options, all out-of-the-money at that date; they count in full toward Maximum Contractual Share-Equivalents and add nothing to the diluted share count until the share price exceeds that strike. The derived count is a company-defined diluted share count - not GAAP diluted weighted-average shares, not shares actually outstanding, and not maximum contractual dilution.
